1. Introduction and Acceptance of Terms

Welcome to QuickRoad. These Terms of Service constitute a legally binding agreement between you, whether personally or on behalf of an entity, and Hefei Miaolu Trading Co., Ltd., a company registered in the Peoples Republic of China, with its registered address at Room 202, Building 5, Baizhuang Chunnuan Huakai, No. 288 Changjiang East Road, Yaohai District, Hefei 230000, China, operating under the brand name QuickRoad.

By accessing, browsing, or using the QuickRoad website located at https://www.quickroad.mom, any related subdomains, applications, or services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service, our Privacy Policy, and any additional terms, guidelines, or policies that may be posted on the website from time to time. These Terms of Service apply to all visitors, users, clients, and others who access or use the QuickRoad platform. They govern your use of our computer systems design, network engineering, software integration, cloud infrastructure, cybersecurity design, and data engineering services, as well as any related consulting, support, or professional services that QuickRoad may provide.

We reserve the right to refuse service to anyone for any reason at any time, subject to applicable law. Your use of the services is also subject to acceptance of all applicable laws and regulations, and you are solely responsible for compliance with any such laws.

2. Definitions

For the purposes of these Terms of Service, the following definitions apply. Capitalized terms used but not defined in this section have the meanings given elsewhere in these Terms.

QuickRoad, we, us, or our refers to Hefei Miaolu Trading Co., Ltd., its affiliates, officers, directors, employees, agents, and contractors, operating under the QuickRoad brand.

You or your refers to the individual or legal entity accessing or using the QuickRoad website and services, and any person or entity that such individual represents in doing so.

Services refers to all products, services, content, features, technologies, and functionalities offered by QuickRoad, including but not limited to computer systems design, network engineering, software integration, cloud infrastructure consulting, cybersecurity design, data engineering, and any related professional or consulting services.

Content refers to all information, data, text, software, graphics, images, audio, video, messages, code, and other materials made available through the Services, whether publicly posted or privately transmitted.

Client Materials refers to any data, information, documents, software code, system configurations, network diagrams, or other materials that you provide to QuickRoad in connection with the Services.

Deliverables refers to the outputs, reports, designs, architectures, configurations, code, documentation, and other work products created by QuickRoad as part of providing the Services to you.

3. Eligibility and Authority

By using the QuickRoad website and services, you represent and warrant that you are at least eighteen years of age and have the legal capacity to enter into a binding contract. If you are using the services on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms of Service.

Our services are intended for business and professional use within the Computer Systems Design and Related Services industry and the broader Professional, Scientific, and Technical Services sector. We do not knowingly offer services to individuals under the age of eighteen. If we become aware that an individual under eighteen has provided us with personal information or engaged our services without appropriate consent, we will take steps to terminate the engagement in accordance with applicable law.

You are responsible for ensuring that all persons who access our website and services through your internet connection or credentials are aware of and comply with these Terms of Service. Any breach of these Terms by such persons shall be deemed a breach by you.

4. Description of Services

QuickRoad provides professional services in the field of computer systems design, integration, and consulting. Our service offerings include, but are not limited to, systems architecture design, network engineering and topology planning, software systems integration, cloud infrastructure architecture and migration, cybersecurity design and assessment, and data engineering and analytics platform design.

The scope, deliverables, timeline, and fees for any specific engagement will be detailed in a separate Statement of Work, Service Agreement, or similar document executed between QuickRoad and the client. In the event of any conflict between these Terms of Service and a separately executed agreement, the separately executed agreement shall prevail with respect to the specific engagement it governs.

QuickRoad reserves the right to modify, suspend, or discontinue any aspect of the services at any time, with or without notice, without liability to you or any third party. We will make reasonable efforts to provide advance notice of any material changes that may affect ongoing client engagements.

We do not guarantee that our services will be uninterrupted, timely, secure, or error-free. We do not warrant that the results that may be obtained from the use of the services will be accurate or reliable. You acknowledge that computer systems design inherently involves risks and uncertainties, and that outcomes may depend on factors beyond our control.

5. Account Registration and Security

Certain features of the QuickRoad website and services may require you to register for an account. When you create an account, you agree to provide accurate, current, and complete information about yourself or your organization as prompted by the registration form, and to maintain and promptly update such information to keep it accurate, current, and complete.

You are solely responsible for maintaining the confidentiality of your account credentials, including your username and password, and for all activities that occur under your account. You agree to notify QuickRoad immediately of any unauthorized use of your account or any other breach of security. QuickRoad shall not be liable for any loss or damage arising from your failure to comply with these security obligations.

We reserve the right to suspend or terminate your account at any time if we reasonably believe that you have violated these Terms of Service, that your account has been compromised, or that continued access poses a security or legal risk. You may terminate your account at any time by contacting us using the information provided in Section 18.

6. User Responsibilities and Conduct

As a user of the QuickRoad website and services, you agree to use the services only for lawful purposes and in accordance with these Terms of Service. You are solely responsible for your conduct and for any Client Materials that you submit, post, or transmit through our services.

You agree to provide QuickRoad with all information, access, and cooperation reasonably necessary for us to perform the services. This includes providing timely access to your systems, networks, personnel, and documentation as reasonably required. Delays or failures in providing such cooperation may impact our ability to deliver services on schedule and may result in additional fees or adjustments to project timelines.

You agree to comply with all applicable local, national, and international laws and regulations in connection with your use of our services, including but not limited to laws governing data protection, intellectual property, export controls, and anti-corruption. You shall not use the services in any manner that could damage, disable, overburden, or impair our systems or interfere with any other party use of the services.

You represent and warrant that any Client Materials you provide to us do not infringe the intellectual property rights, privacy rights, or any other legal rights of any third party, and that you have obtained all necessary consents and authorizations to share such materials with QuickRoad for the purposes of service delivery.

7. Prohibited Activities

In addition to the user obligations set forth above, the following activities are expressly prohibited when using the QuickRoad website and services. Engaging in any of these activities may result in immediate suspension or termination of your access and may expose you to legal liability.

You shall not attempt to gain unauthorized access to any portion or feature of the website or services, or to any other systems or networks connected to our infrastructure, through hacking, password mining, or any other illegitimate means. You shall not probe, scan, or test the vulnerability of our website or any network connected to it.

You shall not use the website or services to transmit, distribute, or store any material that is unlawful, defamatory, obscene, fraudulent, invasive of privacy, or that contains viruses, Trojan horses, worms, time bombs, cancelbots, corrupted files, or any other malicious or harmful code, files, or programs.

You shall not engage in any activity that imposes an unreasonable or disproportionately large load on our infrastructure, or that interferes with the proper working of the website or services. You shall not use any automated means, including robots, spiders, scrapers, or data mining tools, to access, monitor, or copy any content from our website without our express prior written consent.

8. Intellectual Property Rights

All content, features, and functionality available through the QuickRoad website and services, including but not limited to text, graphics, logos, icons, images, audio clips, video clips, data compilations, software, and the design, selection, and arrangement thereof, are the exclusive property of Hefei Miaolu Trading Co., Ltd., its licensors, or other content suppliers and are protected by applicable copyright, trademark, patent, trade secret, and other intellectual property laws.

The QuickRoad name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Hefei Miaolu Trading Co., Ltd. or its affiliates. You may not use such marks without our prior written permission. All other names, logos, product and service names, designs, and slogans appearing on the website are the trademarks of their respective owners.

Subject to your compliance with these Terms of Service, QuickRoad grants you a limited, non-exclusive, non-transferable, revocable license to access and use the website and services for your internal business purposes. This license does not include any right to reproduce, modify, distribute, sell, lease, or create derivative works based on our content or services without our express written consent.

With respect to Deliverables created by QuickRoad for you as part of a paid engagement, ownership and license rights shall be as specified in the applicable Statement of Work or Service Agreement. Unless otherwise agreed in writing, QuickRoad retains ownership of all pre-existing materials, tools, methodologies, and know-how used in the creation of Deliverables, and grants you a perpetual, irrevocable, worldwide license to use the Deliverables for your internal business purposes.

9. Fees, Payment, and Billing

Fees for QuickRoad services are determined based on the scope, complexity, and duration of each engagement as outlined in the applicable Statement of Work, Service Agreement, or proposal accepted by you. All fees are quoted and payable in the currency specified in the relevant agreement.

Unless otherwise stated in the applicable agreement, invoices are due and payable within thirty calendar days from the date of invoice. Late payments may incur interest at the rate of one and one-half percent per month, or the maximum rate permitted by applicable law, whichever is lower. You shall be responsible for all taxes, duties, and other governmental charges associated with the services, excluding taxes based on our net income.

QuickRoad reserves the right to modify its fee structure and billing practices at any time. Any changes to fees for ongoing engagements will be communicated in writing at least thirty days in advance and will take effect at the start of the next billing cycle or as otherwise agreed between the parties.

If you dispute any charge, you must notify us in writing within fifteen days of the invoice date. Failure to provide timely notice shall constitute your acceptance of the charges. In the event of non-payment, we reserve the right to suspend services until all outstanding amounts are paid in full.

10. Confidentiality Obligations

In the course of providing and receiving services, both QuickRoad and you may have access to confidential information belonging to the other party. Confidential Information means any information, technical data, or know-how disclosed by one party to the other that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and circumstances of disclosure.

Each party agrees to hold the other party Confidential Information in strict confidence, using the same degree of care that it uses to protect its own confidential information of a similar nature, but in no event less than reasonable care. Neither party shall disclose the other Confidential Information to any third party without the disclosing party prior written consent, except to those employees, contractors, and advisors who need to know such information for the purposes of performing under these Terms and who are bound by confidentiality obligations at least as protective as those set forth herein.

Confidential Information does not include information that is or becomes publicly available through no breach of these Terms, was lawfully known to the receiving party without restriction prior to disclosure, is rightfully received from a third party without restriction, or is independently developed by the receiving party without use of or reference to the Confidential Information.

The obligations of confidentiality shall survive the termination or expiration of these Terms and shall continue for a period of three years thereafter, or indefinitely with respect to trade secrets and personal data.

11. Termination and Suspension

These Terms of Service remain in effect until terminated by either party in accordance with the provisions set forth herein. You may terminate these Terms at any time by ceasing all use of the QuickRoad website and services and, if applicable, closing your account.

QuickRoad may terminate or suspend your access to the website and services immediately, without prior notice or liability, for any reason, including without limitation if you breach any provision of these Terms of Service. In the case of ongoing service engagements, termination shall be governed by the terms of the applicable Service Agreement.

Upon termination, your right to access and use the website and services shall immediately cease. All provisions of these Terms that by their nature should survive termination shall do so, including but not limited to provisions concerning intellectual property rights, confidentiality, disclaimers, limitations of liability, indemnification, governing law, and dispute resolution.

If your account is terminated, we may, at our discretion, retain or delete any data associated with your account in accordance with our Privacy Policy and applicable data retention obligations. You are advised to download or otherwise preserve any data you wish to retain before termination takes effect.

12. Disclaimer of Warranties

The QuickRoad website and services are provided on an as is and as available basis, without any warranties of any kind, either express or implied. To the fullest extent permitted by applicable law, QuickRoad and Hefei Miaolu Trading Co., Ltd. expressly disclaim all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

Without limiting the foregoing, QuickRoad does not warrant that the website or services will meet your specific requirements, that they will be uninterrupted, timely, secure, or error-free, that the results obtained from their use will be accurate or reliable, or that any errors or defects will be corrected. You acknowledge that access to the website may be subject to limitations, delays, and other problems inherent in the use of the internet and electronic communications.

QuickRoad makes no representations or warranties regarding the accuracy, completeness, or reliability of any content, information, or materials provided through the website. Any reliance you place on such content is strictly at your own risk. We disclaim all liability arising from any reliance placed on materials by any visitor to the website or by anyone who may be informed of any of its contents.

Some jurisdictions do not allow the exclusion of implied warranties or limitations on applicable statutory rights, so some or all of the above exclusions and limitations may not apply to you. In such jurisdictions, the liability of QuickRoad shall be limited to the greatest extent permitted by applicable law.

13. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall QuickRoad, Hefei Miaolu Trading Co., Ltd., its affiliates, officers, directors, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the website or services.

This limitation applies whether the alleged liability is based on contract, tort, negligence, strict liability, or any other legal theory, and even if QuickRoad has been advised of the possibility of such damages. In jurisdictions that do not allow the exclusion or limitation of liability for consequential or incidental damages, our liability shall be limited to the maximum extent permitted by law.

In no event shall the aggregate liability of QuickRoad and Hefei Miaolu Trading Co., Ltd. for all claims arising out of or relating to these Terms of Service or the use of the website and services exceed the amount paid by you, if any, to QuickRoad in the twelve months preceding the event giving rise to the claim, or one hundred United States dollars, whichever is greater.

The limitations and exclusions of liability set forth in this section shall apply regardless of the form of action and shall survive any failure of essential purpose of any limited remedy. You acknowledge that these limitations reflect a reasonable allocation of risk and form an essential basis of the bargain between the parties.

14. Indemnification

You agree to defend, indemnify, and hold harmless QuickRoad, Hefei Miaolu Trading Co., Ltd., its affiliates, and their respective officers, directors, employees, agents, contractors, and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs, debts, and expenses, including reasonable legal fees, arising from or related to your use of and access to the website and services.

This indemnification obligation covers claims arising from your violation of these Terms of Service, your infringement of any intellectual property or other right of any person or entity, your violation of any applicable law, rule, or regulation, any Client Materials you submit or transmit through the services, and any claim that your Client Materials caused damage to a third party.

QuickRoad reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of such claims. You shall not settle any claim that imposes any obligation or liability on QuickRoad without our prior written consent, which shall not be unreasonably withheld.

15. Governing Law and Jurisdiction

These Terms of Service and any dispute or claim arising out of or in connection with them or their subject matter, whether contractual or non-contractual, shall be governed by and construed in accordance with the laws of the Peoples Republic of China, without regard to its conflict of law provisions.

Any legal action, suit, or proceeding arising out of or related to these Terms of Service shall be instituted exclusively in the competent courts located in Hefei, Anhui Province, China. You and QuickRoad each irrevocably consent to the personal jurisdiction of such courts and waive any objection based on improper venue or forum non conveniens.

Notwithstanding the foregoing, QuickRoad may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or confidential information. You agree that any violation of our intellectual property rights or confidentiality obligations would cause irreparable harm for which monetary damages would be inadequate, and that QuickRoad shall be entitled to seek injunctive relief without the necessity of posting bond.

If you access the QuickRoad website or services from outside China, you do so on your own initiative and are responsible for compliance with local laws, if and to the extent local laws are applicable. You specifically agree to comply with all applicable laws concerning the transmission of technical data exported from the country in which you reside.

16. Dispute Resolution

QuickRoad values its relationship with clients and users and is committed to resolving disputes in a fair and efficient manner. Before initiating any formal legal proceedings, you agree to first contact QuickRoad and attempt to resolve the dispute informally through good-faith negotiation.

If a dispute cannot be resolved through informal negotiation within sixty days of the initial notification, either party may initiate binding arbitration in accordance with the rules of the China International Economic and Trade Arbitration Commission. The arbitration shall be conducted in English and shall take place in Hefei, Anhui Province, China, unless otherwise mutually agreed in writing.

The arbitration shall be conducted by a single arbitrator appointed in accordance with the applicable arbitration rules. The arbitrator decision shall be final and binding, and judgment on the award may be entered in any court having jurisdiction. Each party shall bear its own costs and expenses of arbitration, and the parties shall share equally the fees and expenses of the arbitrator, unless the arbitrator determines that a different allocation is appropriate.

You agree that any dispute resolution proceedings shall be conducted on an individual basis only and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against QuickRoad or Hefei Miaolu Trading Co., Ltd.

17. Modifications to These Terms

QuickRoad reserves the right to modify, amend, or replace these Terms of Service at any time at its sole discretion. When we make changes, we will post the updated Terms on this page and update the Effective Date at the top of the document. Material changes will be communicated through a prominent notice on our website or, where feasible, through direct email to registered users.

It is your responsibility to review these Terms of Service periodically for changes. Your continued use of the QuickRoad website and services after the posting of any revised Terms constitutes your acceptance of the changes. If you do not agree with the modified Terms, you must discontinue use of the website and services immediately.

No modification, amendment, or waiver of any provision of these Terms shall be effective unless in writing and signed by an authorized representative of QuickRoad. The failure of QuickRoad to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
